The first “Subscribers” of FSOA are its Founding Members. They are respectively designated by the Government of Benin and the International Union for Conservation of Nature (IUCN).
Members are responsible for overseeing the Board of Directors, appointing and removing Directors, and reviewing the annual financial statements and auditors’ reports each year. They adopt the general policy of the Foundation. Members also hold statutory powers that allow them to make certain decisions, by special resolution, during General Assemblies.
Operation of the General Assemblies
General Assemblies must be held in Benin or at another location agreed upon by the members. The Annual General Assembly must take place within eighteen months of the date of incorporation, and annually thereafter. No more than fifteen months may elapse between Annual General Assemblies.
The Directors may convene a General Assembly at any time.
Any amendment to certain provisions of the FSOA Articles of Association requires the written consent of the Charity Commission.
